Terms of Service

These Terms of Service govern access to and use of CESIOME, a digital certificate platform operated by the operator of the CESIOME service for symbolic declarations of personal or professional value. By accessing the site, submitting a declaration, entering the Reserved Entity flow, purchasing a certificate, or downloading any CESIOME output, you agree to these Terms in full.
These Terms should be read together with the Privacy Policy, Cookie Policy, and Refund Policy. If you do not agree, do not use the service.
Acceptance
By accessing or using CESIOME, you accept these Terms in full and agree that they form a binding agreement between you and the CESIOME contracting party, the operator of the CESIOME service. You may use the service only if you are at least 16 years old and have legal capacity to contract under the law that applies to you. The 16+ requirement reflects CESIOME's operational rule for this service and the Romanian implementation of GDPR Article 8 for digital consent by minors. If you use the service on behalf of an organization, you represent that you have authority to bind that organization.
Nature of Service
CESIOME issues personalized digital certificates representing symbolic personal or professional declarations of value. A certificate is an expressive digital artifact: it displays the name, declaration context, and tier amount chosen by the user. It may also be accompanied by a share video or downloadable image. The service is not an appraisal service, investment platform, valuation authority, payroll tool, marketplace, regulated registry, or financial advice service.
Certificates carry NO legal, financial, fiduciary, regulatory, or enforceable effect. They are NOT investments, NOT securities, NOT crowdfunding, NOT financial products, and NOT regulated under EU MiFID II, Directive 2014/65/EU, or Romanian financial-services law. For declarations of USD 50,000 or above, the stated amount remains a symbolic personal valuation only. It is not any form of regulated financial activity, financial promotion, public offering, asset valuation, loan document, invoice, employment claim, tax position, or enforceable promise by CESIOME or any third party.
The Declaration
All declaration text is user-generated content. You retain ownership of the words, names, descriptions, and symbolic valuation you submit, subject to any third-party rights that may already exist. CESIOME does not claim ownership of your personal statement merely because it is rendered into a certificate.
By submitting a declaration, you grant CESIOME a limited, non-exclusive, worldwide, royalty-free license to process, moderate, render, temporarily store, transmit, and deliver the personalized certificate and related share video. This license is limited to operating the service, fulfilling your purchase, handling security and revocation workflows, and responding to lawful complaints. It does not allow CESIOME to sell your declaration as a separate creative work.
User Responsibility and Representations
You are solely responsible for the declaration you submit and for the consequences of publishing, sharing, or relying on it. You represent and warrant that your declaration does not impersonate any real person or entity, does not contain defamatory statements, does not infringe copyright, trademark, publicity, privacy, moral, database, or other third-party rights, does not constitute harassment or threats, and does not violate Romanian, EU, or other applicable law.
You also represent that the tier amount you select is used for a symbolic certificate and is not submitted to mislead a bank, employer, tax authority, investor, customer, regulator, court, marketplace, or counterparty. You must review your declaration before payment. CESIOME is not responsible for correcting user-entered spelling, names, personal claims, or factual assertions after generation.
Prohibited Uses
You may not use CESIOME to impersonate real individuals, organizations, public figures, companies, government agencies, institutions, brands, or employees of those entities. You may not publish defamatory, harassing, threatening, abusive, hateful, exploitative, fraudulent, illegal, or rights-infringing declarations. You may not use trademarks, trade names, logos, or confusingly similar identifiers of third parties in declarations intended to mislead the public or imply authorization.
Illegal content under Romanian or EU law is prohibited, including conduct connected to anti-money laundering rules, money laundering, terrorist financing, sanctions evasion, tax evasion, fraud, deceptive commercial practices, or unlawful financial promotion. This is especially relevant for large-amount declarations, which must remain symbolic and must not be used as fake proof of wealth, investment value, debt, salary, or asset ownership. You may not circumvent the Reserved Entities KYC intake process or attempt to bypass moderation with altered spellings, coded references, or proxy submissions.
No Verification
CESIOME does not and cannot verify the accuracy, truthfulness, legality, authorization, or evidentiary value of any declaration. A certificate is generated from user-provided input and does not mean that CESIOME agrees with, has investigated, or endorses the declaration. CESIOME does not confirm that a named person exists, that a business is authorized, that a brand has approved use of its name, or that a declared amount reflects market value.
The user bears sole and full legal responsibility for declaration content. Any person who relies on a CESIOME certificate as factual proof does so at their own risk. Users must not present a certificate as evidence of authority, qualification, solvency, ownership, income, employment, regulatory status, or official certification.
Moderation, blacklist checks, Reserved Entity routing, or manual review do not convert CESIOME into a verifier. Those controls exist to reduce obvious abuse and platform risk. A declaration that passes moderation may still be false, unauthorized, misleading, defamatory, or unlawful, and the user remains responsible for it.
Reserved Entities
Declarations involving major brands, public figures, public institutions, financial institutions, celebrities, political figures, or entities of significant public interest may require completion of the Reserved Entities KYC intake process. By submitting a Reserved intake form, you explicitly consent to identity verification and document review for the limited purpose of assessing whether the requested declaration may proceed.
CESIOME may request corporate email verification, entity details, a Certificate of Incorporation or Power of Attorney, government-issued ID, and related context. CESIOME may approve or reject a Reserved request at its sole discretion without obligation to give reasons. Approval of one request does not create a right to future approvals, and CESIOME may still revoke a certificate if later information shows that the request was unauthorized, misleading, or harmful.
Right to Revoke
CESIOME may revoke any certificate at any time without prior notice and without entitlement to refund if the certificate violates these Terms, appears to infringe third-party rights, is subject to a legitimate legal complaint, is connected to fraud or impersonation, or is determined at CESIOME's sole discretion to be harmful. Revoked certificates may display a revocation notice so viewers understand that the certificate should no longer be treated as an active CESIOME output.
Revocation is a platform-integrity remedy. It does not decide the legal truth of a dispute, and it does not necessarily mean the user acted unlawfully. It means CESIOME has decided that continued circulation through its certificate format is no longer acceptable under these Terms or under the service's risk controls.
Pricing and Payment
CESIOME offers three fixed-price digital certificate tiers denominated in United States dollars: Declaration at USD 99, Distinction at USD 299, and Eminence at USD 999. Each tier is a distinct digital product with a defined price. There are no pay-what-you-want options, no variable pricing, and no minimum-contribution model. The user selects a tier and purchases the corresponding certificate at its stated price. VAT, including Romanian VAT (TVA), sales taxes, and comparable transaction taxes are calculated and collected automatically by the operator of the CESIOME service, acting as merchant of record, through Stripe Inc. as payment processor. Supported payment methods may include cards, Apple Pay, Google Pay, Link, or other methods made available by Stripe in the user's territory.
Crypto payments, when available through NOWPayments or another disclosed provider, are processed at the market rate available at the time of transaction. CESIOME does not guarantee exchange rates, token availability, network fees, confirmation times, or fiat conversion outcomes. A selected payment method in the interface does not require CESIOME to maintain that method forever.
No Refunds and Waiver of Withdrawal Right
All purchases are final except for the narrow cases listed in the Refund Policy. Under EU Directive 2011/83/EU Article 16(m), implemented in Romania via Art. 16(m) of Annex 1 to Legea 363/2007, the standard 14-day withdrawal right does not apply to digital content supplied on a non-tangible medium when performance has begun with the consumer's prior express consent and explicit acknowledgment that the withdrawal right is lost.
BY COMPLETING PAYMENT, USER EXPRESSLY CONSENTS TO IMMEDIATE CERTIFICATE DELIVERY AND EXPLICITLY ACKNOWLEDGES LOSS OF THE 14-DAY WITHDRAWAL RIGHT. The certificate is personalized, generated on demand, and delivered digitally. Once generation and delivery begin, the output cannot be returned in the way physical goods can be returned.
Intellectual Property
The CESIOME name, wordmark, certificate designs, video templates, animation sequences, layouts, typography choices, interface compositions, rendering logic, and all platform elements are protected by copyright, trademark, trade dress, and other intellectual property rights. No ownership in CESIOME's underlying design system transfers to you when you purchase a certificate.
You receive a non-exclusive, non-transferable, non-sublicensable, personal, revocable license to use your individual certificate and video as delivered by CESIOME. The license is automatically revoked on any breach of these Terms, including misuse of the design, misleading commercial reuse, or presentation of the certificate as official proof of a fact CESIOME has not verified.
Acceptable Use of Certificate Outputs
You may share your certificate and video on personal social media, personal websites, messaging channels, portfolios, and private communications, provided that the sharing does not mislead others about what CESIOME is. You may describe the output as a symbolic CESIOME declaration or personal certificate.
You may not republish CESIOME branding or template designs in commercial or misleading contexts, make false claims that CESIOME endorses, certifies, verifies, appraises, or guarantees the declaration as factually accurate, or create derivative works from the certificate or video template designs. You may not remove disclaimers or alter the output to imply legal authority, official status, or third-party approval.
Force Majeure
Neither party is liable for delays, failures, interruptions, or non-performance caused by circumstances beyond reasonable control. Examples include wars, armed conflicts, terrorism, civil unrest, pandemics, epidemics, government orders, court orders, sanctions, critical infrastructure failures, energy failures, internet backbone failures, DDoS attacks, natural disasters, labor disruptions, or failure of essential third-party services such as Stripe, Vercel, Cloudflare, Upstash, NOWPayments, moderation providers, email providers, or network operators.
CESIOME will use commercially reasonable efforts to restore the service after a force majeure event, but it does not guarantee uninterrupted delivery, immediate re-issuance, or preservation of optional features during such events.
If a force majeure event affects a paid order, CESIOME may attempt delayed delivery, regeneration, provider rerouting, or another commercially reasonable workaround before any refund question is assessed under the Refund Policy.
Service Availability
CESIOME is provided on a best-effort basis only. There is no service level agreement, no uptime guarantee, no guaranteed response time, and no commitment that a specific feature, payment method, video renderer, certificate style, Reserved Entity intake path, or admin workflow will remain available indefinitely.
Maintenance may occur without advance notice. The service may be modified, suspended, rate-limited, or discontinued where needed for security, legal compliance, provider limitations, product changes, or operational reasons. CESIOME may also refuse service where a request creates disproportionate legal, reputational, security, or abuse risk.
Disclaimers
THE SERVICE IS PROVIDED AS IS AND AS AVAILABLE. CESIOME DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT TO THE MAXIMUM EXTENT PERMITTED BY LAW. CESIOME DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, AVAILABLE IN EVERY TERRITORY, OR COMPATIBLE WITH EVERY DEVICE, BROWSER, WALLET, PAYMENT METHOD, OR SOCIAL PLATFORM.
CESIOME does not guarantee that any third party will recognize, honor, accept, value, believe, share, or respond favorably to any certificate. The symbolic nature of a certificate is central to the service. Any attempt to use it as proof of legal, financial, employment, academic, tax, regulatory, investment, or contractual status is outside the intended use and at the user's risk.
Limitation of Liability
To the maximum extent permitted by law, CESIOME's maximum aggregate liability for any claim arising from or relating to a certificate is limited to the amount paid for that specific certificate. CESIOME is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including reputational harm, loss of opportunity, loss of data, loss of goodwill, loss of profits, business interruption, third-party reactions, chargeback consequences, or social media consequences.
Mandatory non-waivable carve-outs under Romanian and EU mandatory law remain preserved. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or gross negligence under Romanian Civil Code Article 1355. Nothing excludes liability that cannot be excluded by mandatory consumer law.
Indemnification
You agree to indemnify, defend, and hold harmless CESIOME, the operator of the CESIOME service, its successors, service providers, and agents from third-party claims, demands, damages, losses, liabilities, costs, and expenses arising from your declaration content, including defamation, impersonation, intellectual property, privacy, publicity, consumer protection, or unfair competition claims from named or identifiable parties.
The indemnity also covers claims arising from your tax obligations or representations related to declared amounts, your breach of these Terms, your misuse of certificate outputs, your attempt to bypass the Reserved Entity process, or your violation of applicable law. CESIOME may assume control of defense for claims affecting its platform or intellectual property.
Dispute Resolution and Governing Law
These Terms are governed by Romanian law. The courts of Bucharest, Romania, have jurisdiction over disputes arising from these Terms, subject to mandatory consumer protection rules. Where a user qualifies as a consumer domiciled in a Member State of the European Union other than Romania, Regulation (EU) 1215/2012 (Brussels I Recast), Articles 17-19, applies: the consumer may bring proceedings before the courts of their domicile and may be sued only in those courts. Nothing in this Section restricts such rights.
CESIOME does not impose mandatory pre-dispute arbitration. Any clause that would force pre-dispute arbitration against an EU consumer would be void or unenforceable under Directive 93/13/EEC where it creates an unfair imbalance. The EU Online Dispute Resolution platform is available at https://ec.europa.eu/consumers/odr.
Statutory Consumer Rights
Nothing in these Terms excludes, restricts, or waives mandatory statutory consumer rights under EU or Romanian law. Rights under OG 21/1992 (Government Ordinance 21/1992 on consumer protection), Legea 363/2007 (Law 363/2007 transposing EU Directive 2011/83/EU on consumer rights), and other mandatory consumer protection rules remain preserved in full. If a provision of these Terms conflicts with a mandatory consumer right, the mandatory right controls for the affected consumer and the rest of the Terms continues to apply.
The withdrawal-right waiver for immediate digital content delivery is intended to operate only within the limits allowed by EU Directive 2011/83/EU Article 16(m) and Art. 16(m) of Annex 1 to Legea 363/2007. It does not remove mandatory rights for defective digital content where those rights cannot lawfully be excluded.
Severability
If any provision of these Terms is held invalid, illegal, void, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable while preserving its commercial and legal purpose as closely as possible. If modification is not possible, the provision will be severed only to the extent of invalidity.
The remaining provisions will continue in full force and effect. A finding that one clause is unenforceable does not affect the validity of the rest of these Terms, the Privacy Policy, the Cookie Policy, or the Refund Policy.
No Waiver
CESIOME's failure to enforce any right, remedy, restriction, policy, or provision does not constitute a waiver of that right or provision. A delay in responding to misuse, complaints, chargebacks, impersonation, intellectual property concerns, Reserved Entity disputes, or payment issues does not prevent CESIOME from acting later.
Any waiver must be express and in writing to be effective, and a waiver in one instance does not operate as a waiver in any future or similar instance. Platform discretion remains available even if a similar declaration was previously allowed.
Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, form the complete agreement between you and CESIOME regarding use of the service. They replace prior statements, informal messages, marketing text, interface copy, previews, or discussions to the extent those materials conflict with the legal documents.
Product descriptions explain how the service is intended to work, but they do not create warranties, regulated status, investment terms, or obligations beyond the express legal commitments stated in these documents.
If localized interface text, help text, checkout provider text, or social media previews conflict with these Terms, the legal documents control to the maximum extent permitted by mandatory consumer law.
Assignment
CESIOME may assign, transfer, delegate, or novate these Terms and related rights or obligations to an affiliate, successor, acquiring entity, newly formed company, purchaser of substantially all assets, or provider involved in restructuring the service, without obtaining user consent, provided mandatory consumer rights remain protected.
You may not assign or transfer your rights or obligations under these Terms without CESIOME's prior written consent. A certificate license is personal to the purchaser and does not transfer the underlying CESIOME design rights.
Electronic Communications
You consent to receive electronic communications from CESIOME, including order confirmations, certificate delivery notices, refund decisions, Reserved Entity intake notices, moderation review responses, policy updates, security notices, and administrative messages when those communications are implemented. Electronic communications may be sent by email, provider checkout pages, website notices, certificate pages, or other reasonable electronic means.
You are responsible for providing accurate contact information where the service requests it. CESIOME is not responsible for failed delivery caused by incorrect email addresses, spam filters, mailbox limits, provider outages, or user-side blocking of necessary messages.
Changes
CESIOME may update these Terms as the service, payment providers, Reserved Entity process, legal obligations, company structure, or risk controls evolve. Material changes will be communicated by updating the "Last updated" date at the top of this page. Where practical and legally required, additional notice may be provided through the site or available contact information.
Continued use of CESIOME after updated Terms are posted constitutes acceptance of the updated Terms to the extent permitted by law. If you do not accept updated Terms, stop using the service. Existing disputes may still be assessed under the version in effect when the relevant purchase or event occurred, unless mandatory law requires otherwise.
